Terms of Use

1. Acceptance of Terms

By accessing and using QREZ ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. These Terms of Service constitute a legally binding agreement between you and Starcode Tech, vl. Karlo Starčević. If you do not agree to these terms, please do not use this service.

By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Service

QREZ is a Software-as-a-Service (SaaS) digital menu creation and management platform that allows restaurants and food service businesses to:

• Create professional digital menus using our drag-and-drop builder
• Generate QR codes for contactless menu access
• Manage menu items, categories, and pricing
• Accept and process customer orders
• Track customer engagement and analytics
• Customize menu layouts and branding
• Manage multiple restaurant locations

We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts

To use our Service, you must create an account. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Upload content that violates any laws or regulations
• Infringe on intellectual property rights of others
• Attempt to gain unauthorized access to the Service
• Use the Service to transmit harmful or malicious code

5. Content and Intellectual Property

You retain ownership of all content you upload to the Service. By using the Service, you grant us a limited license to store, process, and display your content as necessary to provide the Service. You are responsible for ensuring you have the right to use any content you upload.

6. Payment and Billing

Our Service offers both free and paid subscription plans. Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe.

• You agree to provide accurate and complete billing information
• You authorize us to charge your payment method for all fees incurred
• All fees are non-refundable unless otherwise stated or required by law
• We reserve the right to change our pricing with 30 days' advance notice
• Failure to pay may result in suspension or termination of your account
• You are responsible for all taxes associated with your use of the Service

Free Trial: New users may be eligible for a free trial period. Your payment method will only be charged after the trial period ends, unless you cancel before that time.

7. Privacy and Data Protection

We are committed to protecting your privacy. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with applicable data protection laws, including GDPR.

8. Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect service availability. We will provide reasonable notice for planned maintenance when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Starcode Tech, vl. Karlo Starčević shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill, arising from your use of or inability to use the Service.
• Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.
• We are not liable for any damages caused by third-party services, including but not limited to Stripe, Supabase, or Google Analytics.
• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Service will cease immediately. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion.

11. Indemnification

You agree to indemnify, defend, and hold harmless Starcode Tech, vl. Karlo Starčević, and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Content you upload to the Service
• Your breach of any applicable laws or regulations

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts in Croatia. Both parties agree to submit to the personal jurisdiction of such courts.

EU Consumers: If you are a consumer resident in the European Union, you may also have the right to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
